Terms and Conditions

Terms of Use

These Terms of Use ("Terms") govern access to and use of the geom365 website, mobile applications and related online services (collectively, the "Platform") operated by Geomett Box Private Limited ("geom365", "we", "us", "our"). By visiting, browsing, registering on, or transacting through the Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must discontinue use of the Platform immediately.

These Terms are an electronic record under the Information Technology Act, 2000 and applicable rules, and do not require physical or digital signatures. The Terms are read together with our Privacy Policy and any additional policies or service-specific conditions displayed on the Platform.

geom365 is engaged in the business of operating and enabling convenience retail stores and related technology solutions in India. This includes (i) software and hardware for store operations and inventory management, (ii) sourcing and distribution of products, and (iii) franchising/licensing of the geom365 system, formats and trademarks to operated or franchised outlets (the "Business").

Through the Platform, users can:

View information about geom365 stores, products and offers.
Discover franchise/licensing opportunities and submit enquiries.
Access tools, forms or dashboards made available to partners or franchisees, where applicable.

Eligibility and Use of Platform

By using the Platform, you represent that you are at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. Minors may access the Platform only with the involvement and supervision of a parent or legal guardian.

You agree to:

Use the Platform only for lawful purposes and in accordance with these Terms.

User Conduct

Infringes any intellectual property, privacy or other proprietary rights.
Is defamatory, obscene, pornographic, harassing, hateful, or otherwise objectionable.
Promotes illegal activities, including gambling, money laundering, or violence.
Misleads users, impersonates another person or entity, or misrepresents your affiliation.
Threatens the unity, integrity, security or sovereignty of India, or public order.
Contains viruses, malware or other harmful code intended to disrupt services or systems.

You shall not:

Probe, scan or test the vulnerability of the Platform or breach security or authentication measures.
Use any automated system, including "bots" or "scrapers", to access the Platform without written permission.
Make any statements or take any actions that may harm the reputation of geom365, its brands, stores, partners or users.

You agree to indemnify and hold harmless geom365, its affiliates, directors and employees from all losses, claims, damages, costs and expenses arising out of your breach of these Terms or misuse of the Platform.

User Consent and Information

When you submit information, forms or enquiries on the Platform, you consent to geom365 using that information to contact you, process your request, provide services, and for other lawful business purposes described in our Privacy Policy. You are responsible for ensuring that the information you provide, including contact and address details, is correct and up to date.

If any request, order or service cannot be completed due to inaccurate or incomplete information provided by you, geom365 may cancel such request and may choose not to issue any refund or re-attempt, as applicable.

Where content or information is reported or determined to be unlawful or in violation of applicable law, geom365 may remove or disable access to such content and cooperate with competent authorities.

Orders, Pricing and Payments (If Applicable)

Any other methods enabled by geom365 or its payment partners from time to time.

All payments must be made in Indian Rupees (INR), and transactions are subject to applicable Indian tax and financial regulations. geom365 is not responsible for any transaction failures, unauthorised use of payment instruments, or issues arising from your bank, payment gateway or service provider.

Franchise and Business Enquiries

Any information, brochures or content relating to franchise/licensing opportunities on the Platform is for general informational purposes only and does not by itself constitute an offer, guarantee or commitment. Submission of a franchise or partnership enquiry does not create any contractual relationship and is subject to geom365's internal evaluation, eligibility criteria and definitive agreements.

Any franchise or licensing relationship will be governed exclusively by the respective executed agreements and not by these Terms.

Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, interfaces, trademarks, trade names, service marks and the overall look and feel, is owned or licensed by geom365 and protected under applicable intellectual property laws.

To the fullest extent permitted by law, geom365 disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. Any reliance on information or content available on the Platform is at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law, geom365, its directors, employees, affiliates and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or other intangible losses arising out of or relating to:

Your access to or use of (or inability to access or use) the Platform.

Any conduct or content of any third party on or linked to the Platform.

Unauthorised access, use or alteration of your transmissions or data.

geom365's total aggregate liability for any direct damages arising out of or in connection with these Terms or your use of the Platform shall be limited to the amount actually paid by you (if any) for use of the Platform or services in the three months preceding the claim.

Termination and Suspension

geom365 may, at its sole discretion, suspend or terminate your access to the Platform (or any portion thereof), with or without notice, for any reason including but not limited to breach of these Terms, violation of applicable laws, or suspected fraudulent or abusive activity.

Upon termination, your right to access or use the Platform will cease immediately; however, any obligations or liabilities incurred by you prior to termination shall survive. You may stop using the Platform at any time; such discontinuation does not affect rights already accrued in favour of geom365.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to the arbitration clause below, the courts at Siliguri/West Bengal or such other jurisdiction as specified by geom365 from time to time shall have exclusive jurisdiction.

Any dispute, controversy or claim arising out of or relating to these Terms or the use of the Platform ("Dispute") shall first be attempted to be resolved amicably through good-faith negotiations between the parties within ten (10) days of written notice. If unresolved, the Dispute shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in India and proceedings conducted in English.

Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No waiver by geom365 of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default. Any waiver must be in writing and signed by an authorised representative of geom365.

Changes to Terms

geom365 reserves the right to modify, update or replace these Terms at any time, with or without prior notice, by posting the revised version on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms.
